1. Acceptance and Scope
This Agreement applies to your access to, registration for, login to, and use of the JudianAI website, console/dashboard, APIs, SDKs (if any), and related services (collectively, the "Services").
By clicking "Agree," registering, logging in, or otherwise using the Services, you confirm that you have read, understood, and agreed to this Agreement and any product rules, pricing/billing descriptions, notices, announcements, and policies we publish or update from time to time (collectively, the "Rules"). This Agreement together with the Rules constitutes a legally binding agreement between you and us.
If you use the Services on behalf of a company or other organization, you represent and warrant that you have full authority to bind that entity, and this Agreement will apply to that entity as well.
2. Service Description (AI Model API Aggregation)
JudianAI provides API aggregation and forwarding for AI models, and may route your requests to third-party model providers or cloud/infrastructure providers ("Third-Party Providers") for processing.
AI outputs are probabilistic and may be incorrect, incomplete, biased, or inappropriate. You are solely responsible for evaluating outputs and for any consequences of use. In high-risk scenarios (including healthcare, legal, financial, and security), you should conduct human review and compliance assessment before relying on any output.
We may adjust model routing, API capabilities, rate limits, availability, and related configurations as needed for security, compliance, and service stability.
3. Account, API Keys, and Security
You must provide true, accurate, and complete information and keep it up to date.
You are responsible for safeguarding your account credentials, passwords, API keys, access tokens, and similar credentials. Any losses arising from your failure to protect them (including leakage, transfer, sharing, or unauthorized use) are your responsibility.
If you detect abnormal logins or suspect credential leakage, please contact support@judianai.com immediately. We will assist by taking reasonable measures (e.g., suspending keys, restricting access).
4. Lawful Use and Prohibited Conduct
You agree not to use the Services to engage in any activity including, without limitation:
- Violating applicable laws, regulations, or public order and good morals;
- Infringing intellectual property rights, trade secrets, privacy rights, or other lawful rights and interests of others;
- Creating or distributing malware; conducting cyberattacks, scanning, probing, bypassing security measures; or scraping/stress testing beyond reasonable limits;
- Abusing the Services (e.g., traffic/usage manipulation), reselling/renting/sharing API keys, circumventing billing or risk controls, or otherwise harming platform stability;
- Reverse engineering, copying, cloning, or using the Services in any unauthorized manner.
We may, for security, compliance, or reasonable operational needs, take measures including limiting calls, rate limiting, suspending or terminating access, banning accounts, and pursuing legal responsibility. If you cause losses to us or any third party, you shall be liable in accordance with law.
5. User-Submitted Content (No Retention)
We do not retain your submitted content. Within our own systems, we do not persistently store the prompts, context, files, or other input content you submit via the console or API, nor do we persistently store the corresponding outputs.
Transient processing as necessary. To process requests, your content may be handled briefly during transmission and computation (e.g., in-memory routing and inference). Once processing is complete, we do not persistently retain it.
Operational and billing records exclude content bodies. We may store necessary metadata that does not include the content body for billing reconciliation, security/risk control, and troubleshooting, such as request time, request ID, routed model identifier, latency, status code, amount/credits consumed, and account/project identifiers.
6. Third-Party Providers
You understand that AI inference is typically performed by Third-Party Providers, and your requests will be sent to them for processing.
Our non-retention does not mean Third-Party Providers do not retain data. Third-Party Providers may log or retain data for security, compliance, risk control, or operations in accordance with their own terms and privacy policies. Where feasible, we will endeavor to select and configure services that better align with "minimal retention" and "not used for training" options, but we do not make absolute commitments regarding Third-Party Providers' retention practices.
We will make reasonable efforts to coordinate and provide notice regarding impacts caused by Third-Party Providers' outages, capability limitations, or policy changes; however, to the extent permitted by law, you bear the associated risks.
7. Billing, Payments, and Taxes (If Applicable)
Fees may include usage-based billing, packages/plans, subscriptions, prepaid balances/credits, and other pricing models, as displayed on the relevant pages and in the Rules.
You must pay all fees on time and in full, and you are responsible for any applicable taxes and any cross-border/payment-channel fees.
We may adjust pricing and billing rules as needed for operations and will notify you via in-product notices or other reasonable means. Continued use of the Services constitutes acceptance of the updated terms.
8. Refunds (Governed by the JudianAI Refund Policy)
Refund matters are governed by the JudianAI Refund Policy, which forms an inseparable part of this Agreement.
You understand and agree that top-ups/prepaid balances (or credits/quotas) constitute the purchase of Platform compute resources. Refund eligibility, if any, is subject to the Refund Policy and the rules displayed on the relevant pages.
9. Intellectual Property
All intellectual property rights in the Platform—including trademarks, interfaces, code, and documentation—are owned by us or the relevant rights holders. You retain rights in the content you upload/submit (or have obtained proper authorization). You must use outputs in a manner that avoids infringing third-party rights. If your use results in disputes or losses, you are responsible in accordance with law.
10. Service Changes, Interruptions, and Termination
We may modify, upgrade, suspend, or discontinue the Services due to maintenance, security, compliance, or operational reasons, and will provide notice within a reasonable scope. If you violate this Agreement or engage in risky conduct, we may restrict, suspend, or terminate the Services.
11. Disclaimers and Limitation of Liability
To the maximum extent permitted by law, the Services are provided "as is" and "as available," and we make no warranties regarding fitness for a particular purpose, accuracy, uninterrupted operation, or error-free performance.
To the maximum extent permitted by law, we are not liable for any indirect, incidental, consequential, special, or punitive damages.
To the maximum extent permitted by law, where we are liable, our total liability is capped at the fees you actually paid for the Services at issue during the most recent three (3) months, except where mandatory law provides otherwise.
12. Governing Law and Dispute Resolution (United States)
The formation, validity, interpretation, performance, and dispute resolution of this Agreement shall be governed by United States law; to the extent permitted by law, it shall be further governed by the laws of the State of Delaware, excluding its conflict-of-laws rules.
Any dispute, claim, or controversy arising out of or relating to this Agreement or the Services shall be submitted to the exclusive jurisdiction of the state or federal courts located in the State of Delaware, United States.
To protect trade secrets, intellectual property, or to prevent irreparable harm, we may seek temporary restraining orders, preliminary injunctions, or other equitable relief from any court of competent jurisdiction.
To the extent permitted by law, disputes must be resolved on an individual basis only, and may not be brought as a class, consolidated, or representative action (if the law in your jurisdiction does not permit this, mandatory law will prevail).
